Terms & Conditions – 2025
  1. All approved and prospective Member(s) acknowledge that UMA is a member-oriented organization committed to improving our industry and community, achieving leadership through a unified voice. Participation is voluntary and solely the decision of the member(s) to obtain UMA benefits.
  2. All members must formally apply via website or hard copy application and provide necessary business documents pertaining to both the individual and their business. Additional documentation may be required by the Board of Directors.
  3. All members shall abide by UMA’s governing and binding documents, provisions, and clauses.
  4. UMA reserves the right to decline membership applications before, during, or after the application process.
  5. UMA may revoke membership at any time, for any reason, at the discretion of its directors or officers.
  6. Members are prohibited from trans-shipping UMA-signed vendor products in any manner, including commissaries or grocery outlets.
  7. Members must honor all UMA-signed vendor programs and contracts. Non-compliance may result in review and possible penalties.
  8. Members must comply with all mandatory deals, approved promotions, guidelines, and association policies.
  9. Members should purchase products exclusively from UMA-signed vendors, unless unavailable.
  10. If vendor products are unavailable via UMA, members may purchase from alternative sources.
  11. Disclosure of UMA pricing or vendor contracts to non-members is strictly prohibited and may result in immediate membership termination.
  12. UMA may negotiate agreements on behalf of its members, and members agree to participate in such programs as approved by the Board of Directors.
  13. UMA reserves the right to collect and share product data from members’ businesses as deemed necessary by the Board of Directors.
  14. Members must log in to the UMA website monthly with their membership number and password to maintain active status.
  15. Failure to log in monthly will result in suspension. During suspension, rebates, promotions, and contract pricing will not apply until reactivation.
  16. Rebate structures may vary depending on membership tier (Diamond, Platinum, Gold, Silver).
  17. UMA reserves the right to reallocate or donate uncollected rebate funds.
  18. Members must attend all mandatory UMA meetings as designated by leadership. Failure to attend may result in review or termination of membership.
  19. Members may not join or participate in competing merchant organizations within the same industry.
  20. Membership renewal is required annually between October 15th – November 15th.
  21. New members must remain in good standing for a minimum of 60 days before receiving UMA benefits.
  22. Members must notify UMA within 30 days of any change in business ownership, structure, or details.
  23. Non-compliance with UMA agreements, contracts, or policies may result in suspension or cancellation of membership, with forfeiture of rebates or other benefits at the discretion of the Board of Directors.
  24. UMA shall not be held liable for any penalties, fees, taxes, legal, or medical costs incurred by members.
  25. All issues or inquiries must be formally submitted to UMA and resolved through procedures determined by the Board of Directors.
